1. Represents an equal number of restricted stock units ("RSUs") granted pursuant to the Issuer's 2021 Equity Incentive Plan. Each RSU represents the right to receive a share of the Issuer's Class A common stock on the date it vests, subject to continued service of the reporting person through the applicable vesting date. The RSUs will vest on the earlier of (a) the one year anniversary of the grant date or (b) the date of the next annual meeting of stockholders following the grant date.
