Dear Colleagues,
As you may have seen from our news release this morning, Intercept has entered into a definitive agreement to be acquired by Alfasigma, a privately held Italian pharmaceutical company with a strong commitment to patients in a range of therapeutic areas including gastroenterology, vascular disease and metabolism.
This transaction delivers significant value to shareholders. Importantly, the Alfasigma team recognizes the value of our talented people across the organization and our R&D and commercial capabilities. It is also evident they have a compelling strategic vision for how Intercept can serve as a strategic building block for their future in the U.S. market.
Today’s announcement is the beginning of a process, and the transaction is expected to be completed by the end of the fourth quarter of 2023. Until then, Intercept continues to operate as a standalone company. Our daily operations and performance goals remain unchanged. We will need to continue focusing on delivering against our commitments.
Please continue to maintain confidentiality in all aspects of our business operations. Until this proposed transaction is completed, do not contact personnel from Alfasigma unless otherwise instructed. An assigned team of Intercept personnel will be working on an integration plan and will interact with Alfasigma personnel, as appropriate.
