Explanation of Responses:

1. The 10,000 shares of common stock were granted as restricted stock pursuant to the Company's Amended and Restated 2003 Stock Incentive Plan. Restrictions lapse in 16 equal quarterly installments with the first 625 shares vesting on April 1, 2023 and with the final 625 shares vesting on January 1, 2027, if he is employed by the Company on those dates.

2. Includes 34,204 shares which were granted as restricted stock pursuant to the Company's Amended and Restated 2003 Stock Incentive Plan. Restrictions lapse as to 3,473 shares on each of April 1, 2023, July 1, 2023 and October 1, 2023; 3,485 shares on January 1, 2024; 2,575 shares on each of April 1, 2024, July 1, 2024, October 1, 2024 and January 1, 2025; 1,875 shares on each of April 1, 2025, July 1, 2025, October 1, 2025; and January 1, 2026; and 625 shares on each of April 1, 2026, July 1, 2026, October 1, 2026 and January 1, 2027, if he is an employee of the Company on those dates.
