Item 8.01 Other Events.
The U.K. Office of Fair Trading announced on December 30, 2005 (the “Announcement”) that the proposed merger of NTL Incorporated (“NTL”) with a subsidiary of Telewest Global, Inc. (“Telewest”) would not be referred to the U.K. Competition Commission under section 33(1) of the U.K. Enterprise Act 2002 (“Enterprise Act”). Section 120(1) of the Enterprise Act permits third parties to appeal the decision not to refer, subject to compliance with the requirements of the Enterprise Act.
A copy of those portions of the Announcement relating to the proposed merger of NTL and Telewest are attached hereto as Exhibit 99.1.
