1. Includes 1,000 shares acquired under the Issuer's employee stock purchase plan on November 17, 2017.

2. The option vests as to 1/48th of the total number of shares on January 1, 2018 and then 1/48th monthly thereafter.

3. Each restricted stock unit ("RSUs") represents the contingent right to receive one share of the issuer's common stock upon settlement.

4. The RSUs vest as to 1/4 of the total number of shares on December 1, 2018 and then 1/4 of the total number of shares on December 1 of each successive year thereafter.
