The reporting person may be deemed to be a member of a Section 13(d) group with Stadium Capital Management, LLC and certain of its affiliates that collectively beneficially owns more than 10% of Sleep Number Corporation's (the "Issuer") outstanding shares of Common Stock, par value $0.01 per share. The reporting person disclaims beneficial ownership of the securities of the Issuer owned directly by the other members of the Section 13(d) group and this report shall not be deemed an admission that he is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
