Explanation of Responses:

1. These shares represent the value of the lost dividend on the portion of each director's RSU grant made on August 19, 2015 that was cancelled.

2. Each Restricted Stock Unit (RSU) entitles the reporting person to receive one share of common stock upon the vesting date. 1,200 RSUs granted on August 19, 2015 vested on November 30, 2015 due to the separation of Computer Sciences Corporation and CSRA Inc., and 1,200 RSUs granted on August 19, 2015 will be forfeited.
