On March 16, 2022 at 11:59 p.m. Central Time, the 30-day “go-shop” period expired under the terms of the Agreement and Plan of Merger (the “Merger Agreement”), dated February 14, 2022, by and among MoneyGram International, Inc. (the “Company”), Mobius Parent Corp., a Delaware corporation (“Parent”) and an affiliate of Madison Dearborn Partners, LLC (“MDP”), and Mobius Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent pursuant to which funds affiliated with MDP will acquire all outstanding shares of the Company for $11.00 per share in an all-cash transaction valued at approximately $1.8 billion.
During the “go-shop” period, the Company, with the assistance of its financial advisor, BofA Securities, Inc. (“BofA Securities”), actively solicited alternative acquisition proposals from potentially interested third parties. None of the third parties contacted by the Company or BofA Securities provided an alternative acquisition proposal by the go-shop deadline.
The closing of the transactions contemplated by the Merger Agreement is expected to occur in the fourth quarter of 2022, subject to customary closing conditions, including approval by the Company’s stockholders and receipt of regulatory approvals, including required approvals in various jurisdictions related to money transmitter licenses.
