Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one (1) share of Issuer's common stock.

2. In recognition of his service to the Board of Directors of the Issuer, Dr. Hershberg's non-vested RSU awards were partially accelerated effective April 18, 2022 immediately prior to the effectiveness of his resignation as a member of the Board of Directors.

3. 100% of the RSUs vest on the earlier of the one year anniversary of June 16, 2021 or on the date immediately prior to the 2022 annual meeting of stockholders.
