Explanation of Responses:

1. Option to purchase Common Stock granted by the Issuer pursuant to the Issuer's Third Amended and Restated 2011 Stock Option and Incentive Plan (the "Plan"), qualified under Rule 16b-3(d).

2. The option shall vest and become exercisable in 48 equal monthly installments beginning on February 6, 2016, subject to the Reporting Person's continued service to the Issuer through each such date.

3. The option shall vest and become exercisable, if at all, in 48 equal monthly installments beginning on February 6, 2016, if the average closing price of the Common Stock equals or exceeds $6.00 per share for 20 consecutive trading days on or before June 30, 2017, subject to the Reporting Person's continued service to the Issuer through each such date.
