ITEM 8.01 — Other Events
On Tuesday, February 17, 2009, the Company issued a press release announcing that it has decided not participate in United States Treasury’s Capital Purchase Program. A copy of the press release is attached hereto as Exhibit 99.1 (the “Press Release”).
The Company previously had filed a Preliminary Proxy Statement pursuant to Section 14(a) in the event that it decided to participate in the Treasury’s Capital Purchase Program. Because the Company has decided not to participate in the Treasury’s Capital Purchase Program, it will not be filing a Definitive Proxy Statement Pursuant to Section 14(a).
