Explanation of Responses:

1. Grant of Restricted Stock Units ("RSUs") to Johanna Murphy, a member of Noodles & Company's (the "Company") board of directors. The RSUs constitute half of Ms. Murphy's annual compensation for serving as a director, and the number of RSUs was determined based on the closing price of the Company's Class A common stock on the date of grant. Each RSU represents the right to receive one share of the Company's Class A common stock, and the RSUs settled in shares of the Company's Class A common stock on the date of the grant.
