Item 2.02. Results of Operations and Financial Condition.

On June 17, 2020, Noodles & Company (the "Company") filed its Form 10-Q for the fiscal quarter ended March 31, 2020 and issued a press release disclosing comparable sales results and a business update for its fiscal second quarter to date for 2020. The full text of the press release is included as Exhibit 99.1 hereto.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 16, 2020, Mr. Andrew Taub notified the Company of his resignation as a Class II director of the Board of Directors, effective immediately. Mr. Taub’s resignation was not the result of any disagreement with the Company’s operations, policies or procedures.

Mr. Taub is affiliated with L Catterton, which owned approximately 18.5% of our common stock as of February 7, 2020; Mr. Taub was designated by L Catterton as a director of the Company's Board of Directors. Based on its current ownership, L Catterton retains the right to designate one nominee for election to the Company’s Board of Directors pursuant to the amended and restated stockholders agreement, dated as of July 2, 2013. Following the resignation of Mr. Taub, L Catterton no longer has a designee on our Board of Directors.
