On December 7, 2015, Richard E. Thornburgh notified Reynolds American Inc., referred to as RAI, that he is resigning from RAI’s Board of Directors, referred to as the Board, and the Board’s Audit and Finance Committee, effective immediately. A copy of the press release announcing such resignation is attached to this Current Report on Form 8-K as Exhibit 99.1.
