Explanation of Responses:

1. Shares acquired upon vesting of Restricted Shares received by the reporting person on February 29, 2016 and reported on a Form 3 filed on March 9, 2016.

2. The reporting person reported all Restricted Shares received by the reporting person on February 29, 2016 in Table I of the Form 4 filed on March 9, 2016. As such, no adjustments to the reporting person's beneficial ownership needs to be made to reflect this vesting event.

3. Performance Restricted Stock Units convert into common stock on a one-for-one basis.

5. Received in exchange for Performance Restricted Stock Units of Diamond Foods, Inc. (DMND) pursuant to the Agreement and Plan of Merger and Reorganization, dated October 27, 2015, (the "Merger Agreement"), by and among Diamond Foods, Inc., Snyder's-Lance, Inc., Shark Acquisition Sub I, Inc., a wholly-owned subsidiary of Snyder's-Lance, Inc. and Shark Acquisition Sub II, LLC, a wholly-owned subsidiary of Snyder's-Lance, Inc. The reporting person received the Performance Restricted Stock Units of Snyder's-Lance, Inc. (LNCE) in exchange for 34,263 Performance Restricted Stock Units of Diamond Foods, Inc. (DMND).

6. Received in exchange for Restricted Stock Units of Diamond Foods, Inc. (DMND) pursuant to the Merger Agreement. Restricted Stock Units of Snyder's-Lance, Inc. (LNCE) in exchange for 41,604 Restricted Stock Units of Diamond Foods, Inc. (DMND).
