Item 2.02 Results of Operations and Financial Condition.

On February 12, 2021, Genworth Mortgage Insurance Australia Limited, a publicly traded subsidiary of Genworth Financial, Inc., issued a press release announcing its financial results for the quarter ended December 31, 2020, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Genworth Financial, Inc. previously announced it would issue its earnings release for the quarter ended December 31, 2020 after market close on February 16, 2021. A conference call will be held on February 17, 2021 at 9:00 a.m. (ET) to discuss the fourth quarter’s results.
