Explanation of Responses:

1. On August 15, 2023, the Reporting Person was granted an option to purchase 200,000 shares of common stock pursuant to the Issuer's 2020 Omnibus Equity Incentive Plan. Such option will vest pursuant to a four-year vesting schedule, whereby one-fourth of the total number of shares will vest each year on the anniversary date of the grant date.

2. On August 15, 2023, the Reporting Person's spouse was granted an option to purchase 88,000 shares of common stock pursuant to the Issuer's 2020 Omnibus Equity Incentive Plan. Such option will vest pursuant to a four-year vesting schedule, whereby one-fourth of the total number of shares will vest each year on the anniversary date of the grant date.
