The RSUs vest in full on May 25, 2023, subject to the Reporting Person's continued service to the Issuer through the vesting date. The RSUs were granted in accordance with the Issuer's non-employee director compensation program as a component of the Reporting Person's annual compensation for service to the Issuer |
| 2. Includes 40,058 shares of the Issuer's common stock received by the Reporting Person in connection with the October 1, 2020 spin-off (the "Spin-Off Date") of the Issuer from PDL BioPharma, Inc. ("PDL") on account of his ownership of shares of PDL common stock. |
