Explanation of Responses:

1. Vesting of restricted stock units granted to the Reporting Person on September 26, 2016.

2. Forfeiture of shares to satisfy tax obligations related to restricted stock units that were granted to the Reporting Person on September 26, 2016 and vested on September 26, 2017.

3. Each restricted stock unit represents a contingent right to receive one share of WCG common stock.

4. The award of restricted stock units vests in approximately equal increments on September 26, 2017, September 26, 2018, September 26, 2019 and September 26, 2020. Vested shares will be delivered to the Reporting Person upon vest.
