1. Option to purchase Common Stock granted by the Issuer pursuant to the Issuer's Third Amended and Restated 2011 Stock Option and Incentive Plan (the "Plan"), qualified under Rule 16b-3(d).

2. The option shall vest and become exercisable in equal monthly installments over the 12 month period commencing on June 18, 2015; provided, in all cases, that the Reporting Person is, as of each such vesting date, then a director of the Issuer.
