This Form 3 is being amended to show that the reporting person had no beneficial ownership of Knight-Swift Transportation Holdings Inc. at the effective time of the merger of Swift Transportation Company and Knight Transportation, Inc. (the "Merger"). The shares acquired by the reporting person in the Merger are reported on the reporting person's first Form 4 for Knight-Swift Transportation Holdings Inc., as amended.
