| Solely for purposes of Section 16 of the Exchange Act of 1934, as amended ("the Exchange Act"), Marathon Asset Management, L.P. (the "Reporting Person") may previously have been deemed to be a director-by-deputization by virtue of the Reporting Person having a representative on the board of directors (the "Board") of Vanguard Natural Resources, Inc. (the "Issuer"). Michael V. Alexander, an employee of the Reporting Person and/or one of its affiliates, was previously a member of the Board. Effective February 1, 2019, Mr. Alexander resigned from his position on the Board. As a result, the Reporting Person will no longer report any transactions in securities of the Issuer under Section 16 of the Exchange Act. |
