ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On April 8, 2005 Sensus Metering Systems (Bermuda 2) Ltd. (the “Company”) received a letter from Aaron Sack, a member of the Company’s Board of Directors, notifying the Company of his resignation as a director, effective as of March 23, 2005. Mr. Sack’s decision to resign as a director of the Company was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
