| Item 7.01 | Regulation FD Disclosure. |
On February 27, 2020, Regions Financial Corporation ("Regions") announced that it has entered into a definitive agreement to acquire Ascentium Capital, LLC ("Ascentium"), headquartered in Kingwood, Texas. The transaction is expected to close during the second quarter of 2020, subject to satisfaction of customary closing conditions.
The press release announcing the acquisition is furnished as Exhibit 99.1 hereto. Select transaction highlights as well as additional information regarding our capital targets framework is furnished as Exhibit 99.2 hereto.
