Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On April 6, 2010, the Registrant announced that, effective as of that date, Gary J. Kusumi, age 63, joined the Registrant in the capacity of Executive Vice President and President of each of the Registrant's five insurance company subsidiaries. Mr. Kusumi's professional background includes his most recent experience as President and CEO of GMAC Insurance's Personal Lines business. In addition, Mr. Kusumi was an Executive Vice President in the Great American Insurance organization, and has over ten years of experience at Progressive Corporation. Mr. Kusumi holds an MBA from Harvard Business School and a Bachelor's from Kettering University.
On April 6, 2010, the Registrant issued a press release regarding the aforementioned appointment, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
