On February 2, 2012, Sean Mitchell resigned as a director of American Eagle Energy Corporation (the “Company”). His resignation was not the result of any disagreements between the Company and Mr. Mitchell on any matters relating to the Company’s operations, policies or practices. A copy of the letter of resignation provided by Mr. Mitchell is attached hereto as Exhibit 17.1.
