Explanation of Responses:

1. The Reporting Person previously elected to defer the Restricted Stock Units ("RSUs") granted on 02/23/2021 in accordance with the Company's Deferred Compensation Plan (the "Plan"). On 02/23/2024, 25% of the grant vested and 147 RSUs remained deferred. As permitted under the Plan, the Company withheld 15 shares of Republic Services, Inc.'s common stock to satisfy tax liability of the Reporting Person. The fair market value of the exchanged shares was $184.98 (the closing price of Republic Services, Inc.'s common stock on 02/23/2024).

2. Each Restricted Stock Unit represents the contingent right to one share of common stock of Republic Services, Inc.
