Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review
On May 21, 2007, management of FermaVir Pharmaceuticals, Inc. (the “Company”) recommended to the Board of Directors of the Company, that the Company’s financial statements for the three and nine months ended January 31, 2007 and for the period from inception (November 15, 2002) to January 31, 2007 included in the Company’s Form 10-QSB for the three months ended March 31, 2007 should not be relied upon. The Company’s Audit Committee agreed with management of the Company and the Company has restated these financial statements to reflect a reduction of accounts payable and accrued expenses of $242,460 as of January 31, 2007 and a reduction of research and development expenses for the same amount during the three months ended January 31, 2007. On May 25, 2007, the Company amended its Form 10-QSB for the quarterly period ended January 31, 2007.
The Company’s management and Audit Committee reached their conclusions in consultation and with the occurrence of the Company’s former independent registered public accounting firm, J.H. Cohn LLP.
