Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 9, 2013, at a special meeting of the Board of Directors, John May, an existing director of White Mountain Titanium Corporation, was appointed as Non-executive Chairman of the Board to replace Brian Flower who voluntarily relinquished his position as Executive Chairman and was appointed as Executive Vice-President at the same meeting. The Board of Directors will consider modifications to the compensation arrangements with Messrs. May and Flower to reflect these changes in management roles prior to the end of the current quarter.
