Item 1.02Termination of a Material Definitive Agreement.
On August 17, 2012,Hyundai Welding Co., Ltd. and Korea Resources Corporation, each a Korean company, failed to make the required combined payment of US$10,000,000 as required pursuant to theletter of intent (the “LOI”) with each party entered into on June 28, 2012, and amended on July 6, 2012. As a result of the failed payment, on August 20, 2012, we terminated the LOI. In connection with the termination of the LOI, we issued a press release attached hereto as an exhibit.
