ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On October 30th, 2018 HPIL HOLDING signed a Joint Venture Agreement with nuUnlimited Limited (new name of Numbers Unlimited Limited). HPIL HOLDING and nuUnlimited have also signed a license agreement granting the Joint Venture Company (yet to be formed and which is owned equally by nuUnlimited Limited and HPIL Holding) a license to nuUnlimited’s to its industrial designs and intellectual property as more further detailed in the attached exhibits.
The Agreements are attached hereto as Exhibit 99.1. and Exhibit 99.2
