1. This transaction represents the transfer of common stock by bona fide gift from the reporting person to a trust held for the benefit of the reporting person's spouse. The reporting person's spouse is a trustee of the trust.

2. Annual equity award in the form of restricted stock units ("RSUs"). These RSUs vest in full on April 30, 2023 and are settled in shares of common stock on a one-for-one basis.
