Item 8.01. Other Events.
On June 15, 2011, Medical Properties Trust, Inc. (the “Company”) issued a press release announcing that it has commenced a cash tender offer to purchase any and all of the outstanding 9.25% Exchangeable Senior Notes due 2013 issued by the Company’s operating partnership, MPT Operating Partnership, L.P. (which are fully and unconditionally guaranteed by the Company and are exchangeable for cash up to their principal amount and shares of the Company’s common stock for the remainder of the exchange value in excess of the principal amount).
A copy of the press release is filed as Exhibit (a)(5)(A) to the Company’s Schedule TO filed with the Securities and Exchange Commission on June 15, 2011 and is incorporated herein by reference.
