Explanation of Responses:

1. Upon execution of a Consulting Agreement with The Siegel Group Inc. ("SGI"), which is owned by Ned L. Siegel, the Company issued SGI a stock options to acquire 150,000 shares of common stock at $0.41 per share. SGI is prohibited from exercising such option if it would result in Mr. Siegel earning in excess of $120,000 in any 12 month period.
