Item 8.01. Other Events.
On April 23, 2020, MaxLinear, Inc. (“MaxLinear”) issued a press release announcing that on April 21, 2020 the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with MaxLinear’s previously announced proposed acquisition of Intel Corporation’s (“Intel”) Home Gateway Platform Division (the “Acquisition”) pursuant to the Asset Purchase Agreement (the “Purchase Agreement”), dated April 5, 2020, by and among MaxLinear, Intel and MaxLinear Asia Singapore Private Limited. A copy of that press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Acquisition. The closing of the Acquisition remains subject to the satisfaction or waiver of the remaining conditions to the Acquisition set forth in the Purchase Agreement, including conditions related to local work councils. Subject to the satisfaction of these other conditions, the Acquisition is currently expected to close in the third quarter of 2020.
