On May 23, 2006, McCormick & Schmick’s Seafood Restaurant, Inc. adopted a form of restricted stock agreement, which agreement is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The Company has already incorporated the financial impact of anticipated restricted stock grants in the financial guidance it previously published for 2006, including its guidance on earnings per share.
