Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.

On January 4, 2012, Eric Klepfer, a director since 2006, announced that he does not intend to seek re-election to the Board of Directors of the Company at the Company’s 2012 Annual Meeting.  Mr. Klepfer’s decision not to stand for re-election is not the result of any disputes with the Company or its management.
