Explanation of Responses:

1. This transaction is being reported late due to inadvertent administrative error.

2. Shares of restricted stock granted pursuant to the Company's 2015 Equity Incentive Plan. The shares shall vest 100% on May 30, 2025, subject to the Reporting Person completing continuous service through the vesting date.

3. Pursuant to an assignment and assumption agreement between the Reporting Person and 180 Degree Capital Corp. ("180 Degree"), the Reporting Person has assigned all economic and beneficial interest in these shares to 180 Degree.
