Item 8.01. Other Events.
On October 20, 2008, U.S. Premium Beef, LLC (the “Company”) and its majority owned subsidiary, National Beef Packing Company, LLC (“NBP”), jointly issued a press release confirming that the United States Department of Justice (“DOJ”) had filed a civil antitrust suit in the U.S. District Court for the Northern District of Illinois to enjoin JBS S.A.’s proposed acquisition of NBP. The Company and NBP plan to vigorously contest the DOJ’s attempt to block this transaction. A copy of the press release is included in Exhibit 99.1 attached hereto and incorporated herein by reference.
