Explanation of Responses:

1. Consists of restricted stock units issued under the Issuer's 2014 Independent Directors Equity Plan and representing an equal number of shares of Common Stock issuable upon vesting of such units. On January 8, 2021, the Issuer paid a special dividend of $11.00 per share of its common stock to stockholders of record as of January 5, 2021. These restricted stock units were granted by the compensation committee of the Board of Directors of the Issuer, in accordance with the terms of the Plan, to preserve the economic value of the award granted on May 14, 2020, after giving effect to the special dividend.
