Item 1.01 Entry into a Definitive Material Agreement.
On February 22, 2008, NeuroMetrix, Inc. (the “Company”) entered into a first amendment (the “Amendment”) to the lease agreement between the Company and Fourth Avenue LLC, dated October 18, 2000 (the “Lease”). The Amendment extends the term of the Company’s existing lease of its principal facility at 62 Fourth Avenue, Waltham, Massachusetts for an additional four years until March 2013. The Amendment also reduces the amount of the irrevocable standby letter of credit that the Company is required to maintain for the benefit of the lessor from $1,430,000 to $400,000.
