Compensatory Arrangement
On May 27, 2008, the Board of Directors approved a compensatory arrangement under which certain employees who have not been able to utilize accrued vacation time due to pressing business needs associated with the Gateway Professional Business acquisition and the Flextronics outsourcing initiative were paid cash in exchange for a portion of their accrued vacation time. Our Chief Operating Officer, Jeffrey E. Fillmore, received a payment of $23,050 in connection with this arrangement.
