EXPLANATORY NOTE
USA Mobility, Inc. (the “Registrant”) has prepared this Registration Statement in accordance with the requirements of Form S-8 under the Act to register shares of Common Stock issuable pursuant to the 2012 Plan. On May 16, 2012, the Registrant’s stockholders approved the 2012 Plan. This Registration Statement is being filed in order to register shares of Common Stock which may be offered or sold to participants under the 2012 Plan.

The Registrant’s Certificate of Incorporation provides that no director of the Registrant will be personally liable to the Registrant or any of its stockholders for monetary damages arising from the director’s breach of fiduciary duty as a director, with certain limited exceptions.
