Item 2.02 Results of Operations and Financial Condition.
On April 24, 2019, Spok Holdings, Inc. (the “Company”) issued a press release announcing financial results for the first quarter ended March 31, 2019. A copy of the press release is furnished as Exhibit 99.1 to this report.

On April 24, 2019, the Company’s Board of Directors (the "Board") declared a regular quarterly dividend of $0.125 per share of the Company's common stock payable on June 24, 2019 to stockholders of record on May 24, 2019.
