Outstanding Shares of Common Stock
Due to the fact that IIOT-OXYS, Inc., a Nevada company (the “Company”), has requested a 45-day extension to file the Annual Report on Form 10-K for the year ended December 31, 2019, the Company is electing to disclose the number of outstanding shares of Common Stock as of April 30, 2020 in this Current Report on Form 8-K. The number of shares of Common Stock of the Company outstanding on April 30, 2020 was109,553,548. The number of authorized shares of Common Stock of the Company remains at 190,000,000.
