Explanation of Responses:

1. Each Restricted Stock Unit represents the right to receive, at settlement, one share of common stock.

2. This transaction represents the settlement of Restricted Stock Units in shares of common stock on their scheduled vesting date.

3. Shares withheld by Registrant to satisfy the minimum statutory tax withholding requirements on vesting of Restricted Stock Units. No shares were sold.

4. On May 15, 2019, Mr. Shirley was granted 89,175 Restricted Stock Units, which amount has been adjusted to 8,918 Restricted Stock Units pursuant to the Issuer's 1-for-10 reverse stock split of its common stock on June 9, 2019. The Restricted Stock Units vested as to 50% of the units on each of May 15, 2020 and May 15, 2021, subject to the satisfaction of certain performance criteria to be determined and approved by the Compensation Committee with respect to each such period.
