Explanation of Responses:

1. 3,000 shares representing the one-for-one conversion of restricted stock units ("RSUs") vested on December 18, 2018. Subject to Dr. Toselli's continued employment with the Company, the remaining 9,000 shares will vest in equal monthly installments until fully vested on December 18, 2021.

2. Represents shares sold by the reporting person pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on November 20, 2018 to satisfy tax withholding obligations applicable to the vesting of 3,000 stock-settled RSUs referenced in Footnote 1.
