ITEM 7.01. REGULATION FD DISCLOSURE.

On February 11, 2014, management of Rand Logistics, Inc. (“Rand”) presented to institutional investors a summary of Rand’s business, historical financial performance and future earnings guidance at the Stifel Transportation and Logistics Conference. Rand also plans to present such presentation to institutional investors at the BB&T Capital Markets 29th Annual Transportation Services Conference on February 12, 2014. The presentation is attached as Exhibit 99.1 and is incorporated by reference herein.
