1. These shares were awarded to the reporting person pursuant to the Issuer's 2007 Long-Term Incentive Plan and the Employment Agreement dated June 12, 2013, as amended on November 5, 2014, and the Letter Agreement dated June 24, 2015.

2. These shares of common stock are owned indirectly by Rand Management LLC. The sole member of Rand Management LLC is the Laurence Levy Irrevocable Trust, a trust established for the benefit of Laurence Levy's children. Mr. Levy is the trustee of the Laurence Levy Irrevocable Trust.
