(b)           On February 16, 2012, Leon A. Huff notified The Bancorp, Inc. (“Bancorp”) of his decision to resign from Bancorp’s Board of Directors, effective immediately.  Mr. Huff’s resignation was not a result of any disagreements with Bancorp on any matter relating to its operations, policies or practices. 

Bancorp thanks Mr. Huff for his years of service to the company.
